# End-User License Agreement

## 1. Who this covers
Mainstay BillingSys ("the Application") is internal software developed and operated by **Delm2, LLC dba Mainstay Legal** ("Mainstay Legal", "we", "us") for its own business use.
The Application is **not offered to the public, sold, licensed, or distributed to any third party.** It is used solely by employees and authorized contractors of MainstayLegal ("Authorized Users") in the course of their work.
By using the Application, an Authorized User agrees to these terms.
## 2. What the Application does
The Application manages Mainstay Legal's internal job intake, production tracking, billing logs, and invoice preparation. It connects to Mainstay Legal's own QuickBooks Online company to create and retrieve invoices and customer records belonging to Mainstay Legal.
## 3. License
Mainstay Legal grants Authorized Users a non-exclusive, non-transferable, revocable right to use the Application for internal business purposes only, for as long as they are authorized.
Authorized Users may not copy, distribute, sublicense, sell, reverse engineer, or make the Application or its source available to anyone outside Mainstay Legal.
All rights, title and interest in the Application remain with Mainstay Legal.
## 4. Acceptable use
Authorized Users must:
- access only data required for their work- keep credentials confidential and not share accounts- use the Application only over Mainstay Legal's internal network or approved VPN- report suspected unauthorized access promptly
Authorized Users must not attempt to circumvent access controls, extract data for purposes unrelated to Mainstay Legal business, or connect the Application to systems not approved by Mainstay Legal.
## 5. Client data
The Application handles information relating to Mainstay Legal's clients, including law firms and their personnel. Authorized Users must treat that information as confidential and handle it in accordance with Mainstay Legal's obligations to those clients.
## 6. Third-party services
The Application connects to **Intuit QuickBooks Online** to manage Mainstay Legal's own accounting records. Use of QuickBooks Online is governed by Mainstay Legal's separate agreement with Intuit. Nothing in this agreement creates any relationship between an Authorized User and Intuit.
## 7. No warranty
The Application is provided to Authorized Users **"as is"**, without warranty of any kind. Mainstay Legal does not warrant that it will be uninterrupted or error-free.
## 8. Limitation of liability
To the extent permitted by law, Mainstay Legal is not liable to any Authorized User for indirect, incidental or consequential damages arising from use of the Application.
## 9. Termination
Access ends automatically when a person ceases to be an Authorized User, and may be withdrawn at any time at Mainstay Legal's discretion.
## 10. Governing law
This agreement is governed by the laws of the State of Texas, United States.
